1. Introduction
Welcome to FieldIQ Pro (“FieldIQ Pro,” “we,” “our,” or “us”).
These Terms and Conditions (“Terms”) govern your access to and use of the FieldIQ Pro website, web application, mobile application, and associated services (collectively, the “Services”).
By accessing, registering for, or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue using the Services.
If you use FieldIQ Pro on behalf of a company, organization, or other legal entity, you represent that you have the authority to accept these Terms on its behalf. In that case, “you” and “your” may refer to that organization as well as its authorized users, as applicable.

The availability of specific features may vary according to your account type, subscription plan, organization settings, and technical configuration.
3. Eligibility and Account Registration
To use features requiring registration, you must provide accurate and complete information and maintain the accuracy of your account details.
You agree to:
- Provide truthful registration and profile information.
- Keep your login credentials confidential.
- Use your account only for authorized purposes.
- Notify us promptly if you suspect unauthorized access to your account.
- Ensure that individuals using accounts under your organization are authorized to do so.
You are responsible for activities conducted through your account, except where applicable law provides otherwise or the activities result from circumstances for which you are not legally responsible.
We reserve the right to restrict or suspend accounts where we reasonably believe that the information provided is fraudulent, the account has been compromised, or the Services are being misused.
4. Organizational Accounts and User Permissions
Where FieldIQ Pro is used by a business or organization, the organization may appoint administrators, managers, field representatives, and other users with different access permissions.
Depending on the configuration:
- Administrators may manage users, roles, and organizational settings.
- Managers may access team activities, reports, and assigned business information.
- Field representatives may record customer visits, update assigned records, and perform authorized activities.
- Other users may have access to specific modules or information based on assigned permissions.
Organizations are responsible for managing user access, reviewing permissions, and removing access when a user no longer requires it.
If your account is provided by an employer or another organization, that organization may control your account, access relevant work-related information, and request changes to your permissions in accordance with its policies and applicable law.
5. Acceptable Use
You agree to use FieldIQ Pro only for lawful business and operational purposes.
You must not:
- Use the Services for any unlawful, fraudulent, deceptive, or harmful activity.
- Access another user's account without authorization.
- Attempt to bypass authentication, access restrictions, or security controls.
- Upload malicious software, harmful code, or unauthorized content.
- Interfere with the availability, integrity, or security of the Services.
- Reverse engineer, decompile, or attempt to extract source code, except where such restriction is prohibited by applicable law.
- Copy, resell, sublicense, or commercially exploit the Services without our prior written permission.
- Use automated tools to scrape, extract, or collect information from the Services without authorization.
- Upload information that infringes another party's rights or violates applicable law.
- Use the Services to harass, threaten, impersonate, or unlawfully monitor another person.
- Attempt to gain unauthorized access to our systems, infrastructure, or other users' information.
We may investigate suspected violations and take appropriate action, including restricting access or suspending accounts.
6. Customer Data and User Content
For these Terms, “Customer Data” means information submitted to, uploaded to, or generated through your use of the Services, including customer contact details, business records, visit information, notes, schedules, sales activities, and reports.
You retain ownership of Customer Data to the extent you own or otherwise hold rights to that information.
You are responsible for:
- Ensuring that you have the necessary rights, permissions, and legal basis to upload and process Customer Data.
- Ensuring that Customer Data is accurate and lawfully collected.
- Providing appropriate privacy notices and obtaining required consents where applicable.
- Avoiding the submission of sensitive or confidential information unless the relevant feature is intended for it and appropriate safeguards are in place.
- Maintaining appropriate copies or exports of important business records where necessary.
You grant us a limited, non-exclusive right to host, store, transmit, process, and use Customer Data solely as reasonably necessary to provide, secure, maintain, and support the Services, comply with applicable law, and fulfil our contractual obligations.
We will handle personal information in accordance with our Privacy Policy and applicable data protection laws.
7. Location-Based Features and Field Tracking
Certain FieldIQ Pro features may use device location information to support customer visits, route planning, navigation, field activity records, or operational reporting.
Where these features are available:
- Location access may require permission through your device or browser.
- The availability and accuracy of location information may depend on your device, network connectivity, GPS signals, and application settings.
- Location-based records may be visible to authorized managers or administrators, depending on your organization's configuration.
- Disabling location permissions may affect the functionality of certain features.
Organizations using location-based functionality are responsible for ensuring that their monitoring practices comply with applicable employment, privacy, and data protection laws.
FieldIQ Pro should not be relied upon as the sole source of evidence for employee attendance, physical presence, or any other matter requiring independently verified location data.
8. Subscription Plans, Fees, and Payments
Certain Services may be offered under paid subscription plans, while other features may be offered free of charge or as part of a trial.
Where applicable, the following conditions apply:
- Subscription fees, billing periods, included features, and usage limits will be communicated before purchase.
- You agree to pay all applicable fees associated with your selected plan.
- Taxes, transaction charges, or other applicable fees may be added where required.
- You are responsible for providing accurate billing information.
- Access to paid features may be restricted if payments are overdue or unsuccessful, subject to applicable law and any agreed payment terms.
We may modify subscription pricing or plans from time to time. Any changes to existing subscriptions will be communicated as required by applicable law and the relevant subscription agreement.
Specific commercial terms agreed separately in writing between FieldIQ Pro and a customer will prevail over these general Terms to the extent of any direct conflict.
9. Trials, Renewals, and Cancellations
Where trial periods or recurring subscriptions are offered, the applicable duration, renewal terms, cancellation procedure, and charges will be disclosed at the time of registration or purchase.
Unless otherwise stated in the applicable plan or agreement:
- A trial may expire automatically at the end of the stated period.
- A subscription may renew automatically only where this has been clearly disclosed and authorized.
- You may request cancellation through the designated account settings or support channel.
- Cancellation may take effect at the end of the current billing period, unless the applicable plan provides otherwise.
Cancellation does not automatically entitle you to a refund for amounts already paid. Refunds, if any, will be governed by the applicable refund policy, purchase terms, and mandatory legal requirements.
10. Availability and Service Modifications
We aim to keep FieldIQ Pro available and functioning reliably. However, we do not guarantee uninterrupted, error-free, or continuous availability.
The Services may occasionally be unavailable due to:
- Scheduled maintenance or software updates
- Hosting, network, or infrastructure issues
- Third-party service interruptions
- Security incidents or emergency maintenance
- Events beyond our reasonable control
We may update, improve, modify, suspend, or discontinue features where reasonably necessary for operational, technical, security, or business reasons, subject to applicable contractual obligations and law.
Where reasonably practicable, we will provide notice of significant planned changes that materially affect the Services.
11. Third-Party Services and Integrations
FieldIQ Pro may integrate with third-party platforms or services, such as mapping providers, cloud infrastructure, payment gateways, email services, or external software applications.
Your use of third-party services may be subject to separate terms, privacy policies, fees, and technical requirements.
We are not responsible for independent third-party services or their availability, accuracy, security, or policies, except to the extent responsibility cannot be excluded under applicable law or we have expressly agreed otherwise in writing.
12. Intellectual Property Rights
FieldIQ Pro and its underlying software, source code, design, interface, branding, logos, documentation, features, and related materials are owned by us or our licensors and are protected by applicable intellectual property laws.
Subject to these Terms and any applicable subscription agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose during the period in which you are authorized to use them.
You must not reproduce, distribute, modify, create derivative works from, or commercially exploit our intellectual property without prior written authorization, except as permitted by law.
These Terms do not transfer ownership of FieldIQ Pro's intellectual property to you.
13. Feedback and Suggestions
If you provide feedback, suggestions, or recommendations concerning FieldIQ Pro, we may use them to improve our Services without compensation or restriction, provided that doing so does not violate applicable law or disclose your confidential information.
Providing feedback does not transfer ownership of your Customer Data or grant us rights beyond those reasonably necessary to use the feedback itself.
14. Data Protection and Privacy
Your use of FieldIQ Pro is also subject to our Privacy Policy, which explains how personal information is collected, used, stored, and disclosed.
By using the Services, you acknowledge that information will be processed as described in the Privacy Policy and as otherwise permitted by applicable law.
You are responsible for ensuring that your use of the Services and your handling of information about customers, employees, and other individuals comply with the laws applicable to your activities.
Nothing in these Terms limits any privacy rights that cannot lawfully be excluded or restricted.
15. Data Backup and Retention
Although we may maintain backups and implement measures to protect information, we do not guarantee that data loss will never occur.
You should maintain appropriate copies of important business information where the Services provide export functionality or where independent backups are otherwise available.
Data retention, deletion requests, and account closure will be handled in accordance with our Privacy Policy, applicable agreements, and legal obligations.
If your organization manages your account, data export or deletion requests may need to be coordinated with its authorized administrator.
16. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an “as available” and, where legally permissible, “as is” basis.
We do not warrant that:
- The Services will always be uninterrupted or error-free.
- All information displayed will be complete, accurate, or current.
- Location data, navigation results, or visit records will always be precise.
- The Services will meet every individual business requirement.
- Every defect or vulnerability will be identified or corrected immediately.
FieldIQ Pro provides operational tools and information to support business activities. You remain responsible for business decisions, customer communications, employee management, route choices, and the verification of information where necessary.
Nothing in these Terms excludes a warranty or consumer right that cannot legally be excluded.
17. Limitation of Liability
To the maximum extent permitted by applicable law, FieldIQ Pro and its affiliates, officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, business opportunities, goodwill, or data arising from your use of or inability to use the Services.
Where liability may lawfully be limited, our aggregate liability arising out of or relating to the Services will be limited to the amount paid by you for the relevant Services during the twelve (12) months immediately preceding the event giving rise to the claim.
This limitation will not apply to liability that cannot legally be excluded or limited, including any liability that applicable law requires to remain enforceable.
Nothing in these Terms affects rights or remedies that cannot be waived under applicable law.
18. Indemnification
To the extent permitted by applicable law, you agree to be responsible for losses, claims, liabilities, and reasonable expenses arising from your unlawful use of the Services, your material violation of these Terms, or your infringement of another party's rights.
This provision does not require you to indemnify us for losses caused by our own unlawful conduct, negligence, or breach of obligations where such indemnification would be prohibited by law.
19. Suspension and Termination
We may suspend or terminate access to all or part of the Services where reasonably necessary if:
- You materially violate these Terms.
- Your use creates a security risk or threatens the integrity of the Services.
- Your account is associated with suspected fraud or unlawful activity.
- Required subscription payments remain unpaid, subject to applicable terms and law.
- We are legally required to suspend or discontinue access.
Where appropriate and reasonably practicable, we will provide notice and an opportunity to resolve the issue before taking action.
You may stop using the Services at any time. For paid subscriptions, account closure and cancellation remain subject to the applicable subscription terms.
Upon termination, your right to access the affected Services will end. Data access, export, retention, and deletion will be handled according to the applicable agreement, our Privacy Policy, and legal requirements.
Provisions that by their nature should survive termination, including intellectual property, outstanding payment obligations, applicable disclaimers, and enforceable limitations of liability, will survive to the extent permitted by law.
20. Force Majeure
We will not be responsible for delays or failures to perform obligations caused by events beyond our reasonable control, including natural disasters, widespread network failures, government actions, war, civil unrest, labor disruptions, public health emergencies, or major infrastructure outages.
This clause does not excuse payment obligations already due or any responsibilities that cannot lawfully be excluded.
21. Changes to These Terms
We may revise these Terms from time to time to reflect changes in our Services, business practices, or legal requirements.
The updated version will be published on our website with a revised “Last Updated” date. Where required by law or contract, we will provide notice of material changes or obtain your agreement.
Your continued use of the Services after revised Terms become effective will constitute acceptance only to the extent recognized under applicable law. If you do not agree to the revised Terms, you should discontinue use of the affected Services and follow the applicable cancellation process.
22. Governing Law and Dispute Resolution
These Terms will be governed by the laws applicable to the contracting entity identified in the relevant service agreement, subject to mandatory laws that apply to you.
The parties will attempt to resolve disputes through good-faith discussions before pursuing formal legal remedies, where appropriate.
Any court jurisdiction, arbitration arrangement, or dispute resolution procedure applicable to your use of the Services will be specified in the relevant customer agreement or otherwise determined in accordance with applicable law.
Nothing in this section removes any mandatory legal rights or jurisdictional protections that apply to a user or customer.
23. Severability and Waiver
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
Our failure to enforce any provision will not constitute a waiver of our right to enforce that provision in the future.
24. Entire Agreement
These Terms, together with our Privacy Policy and any applicable order form, subscription agreement, or other written agreement, govern your use of the Services.
Where a separate written agreement expressly addresses a subject differently from these Terms, that agreement will prevail for the relevant subject to the extent of the conflict.
